What We’re Watching: House Bill 1421

With less than two weeks left in the legislative session, things are moving quickly as legislators work to push bills across the finish line. This week, we’re watching House Bill 1421, one of the Chamber’s priority bills for the 2026 session that passed in the House Judiciary Committee yesterday and on second reading this morning.

HB 1421 addresses the growing role of private equity firms in the legal industry by reinforcing Colorado’s longstanding rules that prohibit non-lawyer ownership of law firms and fee-sharing with non-lawyers. The bill also closes loopholes that have allowed outside investors to participate in legal cases through complex business arrangements, ensuring that legal decisions remain in the hands of licensed attorneys.

“Protecting the integrity of Colorado’s legal system is critical for maintaining trust in our courts,” said Colorado Chamber President and CEO Loren Furman in a recent press release. “When non-lawyers have a financial stake in legal fees or case outcomes, the interests of consumers and businesses are no longer the top priority, and litigation costs increase for everyone. This legislation ensures that legal decisions are made in the best interest of Coloradans and not driven by profit.”

Business leaders are increasingly concerned about the impact of outside investment in the legal system. When third-party investors are able to profit from litigation, it can drive up costs and shift priorities away from clients. HB 1421 aims to address these concerns by setting clear boundaries around financial arrangements while still allowing law firms to use outside vendors for administrative services like billing and operations.

The legislation also establishes an enforcement process through the Colorado Attorney General’s Office, and legal action for injured individuals and local law firms against a law firm backed by private equity. Any recovered funds are paid to the Legal Aid Foundation of Colorado.
